Yvonne Nguyen’s practice is focused on construction- and commercial real estate-related transactions.  Yvonne’s construction practice includes representing clients in drafting, reviewing, and negotiating construction contracts under multiple project delivery systems. She has experience in commercial, subcontractor, joint bid, architect, and supply contracts. Her real estate practice covers all aspects of commercial real estate, including acquisition, development, capitalizing, financing, leasing and disposition of all product types of commercial real estate.

Prior to joining the firm, Yvonne was a real estate associate for a boutique law firm in Texas, and also worked as a law clerk for the Office of the Texas Attorney General.  A longtime resident of Houston, she is fluent in Vietnamese.

Representative Experience

  • Represented a medical imaging facility in its disposition of its assets while the facility was a party to an ongoing dispute arising out of a $3 million breach of contract claim relating to the sale of its accounts receivable to a Nevada-based factoring company. Involved in the review and preparation of a complex non-disclosure agreement, letter of intent, and purchase and sale agreement.
  • Represented a franchisee of a global South Korean coffee establishment in its franchise and area development expansion in Texas. Involved in review, preparation, and negotiation of memorandum of understanding, non-disclosure agreement, area development agreement, and franchise agreement.
  • Represented an Arkansas-based independent contract chicken farmer for an international chicken producer in its real estate development to serve the producer’s poultry complexes, including the water well placement and sizing for poultry production.
  • Represented interior design firms, restauranteurs, hair salons, and nail salons in the lease of retail rental space in stand-alone buildings and retail plazas. Involved in the review and negotiation of commercial lease agreements, including the addendums and exhibits.
  • Represented a medical imaging facility in the amendment and assignment of its lease agreement.
  • Represented a variety of retail tenants in modifying lease agreements due to the negative financial impact of the COVID-19 pandemic. Involved in the review, preparation and negotiation of the modified lease agreements and supporting addendums and exhibits.
  • Represented tenants in the lease of residences. Assisted in the review and negotiation of certain terms and conditions represented in the lease agreements.
